Market Your City License Agreement Rossini Management Systems, Inc. (Market Your City Parent Company) is not responsible for the practices and policies of any Internet provider, and the customer is solely responsible for any Internet provider fees, connection fees, disk space, domain names, etc. Rossini Management Systems, Inc. is not affiliated with any Internet provider. Rossini Management Systems, Inc. is not responsible and will be held harmless from all disruptions of the Internet that may be caused by acts of God, war, terrorism or general stoppage or virus interruptions that may occasionally impair the display or use of the web site and various programs used by the chamber/organization. The chamber/organization understands that on-line software may occasionally suffer connection problems with the Internet or have temporary support down time maintenance issues and thus understands that occasionally program problems may occur and agrees to hold Rossini Management Systems, Inc harmless and free from liability of any claims. Should any issue cause a legal dispute, the Chamber of Commerce /organization agrees to use a Kansas arbitration board to settle any potential dispute between itself or any of its members and Rossini Management Systems, Inc. Customer assumes liability for the correctness and content of any provided information. Rossini Management Systems, Inc. will not be held accountable for the content of any information provided by Customer. Rossini Management Systems Inc. retains all copyrights under this agreement and does not grant copying and distribution of digital files to Customer. Rossini Management Systems, Inc. copyright pertains to program concept, structure, and organization, and retains the right to sell the “Market Your City” program and concept to other entities. Any reproduction or use of the program or a close facsimile thereof is prohibited and would be considered a copyright violation subject to United States Copyright rules and regulations. The use of the Market Your City program is a license agreement and is for the term specified in this agreement. This license may not be transferred to another entity or organization without the express written consent of Rossini Management Systems, Inc. Customer agrees to provide a single point of contact to Rossini Management Systems, Inc. for training and installation issues. Due to the various Internet browsers available, Rossini Management Systems, Inc. optimizes the Market Your City Program for the Netscape and Explorer browsers, and other web browsers may display the web site differently. Rossini Management will not be held responsible for the display of the program to the Internet and the customer realizes that different computer screens and browsers may show the program slightly different from other similar computer screens. The customer holds Rossini Management systems harmless from any such claims that might arise out of the presentation of the visual look and feel of the program. Rossini Management Systems, Inc has tested and to the best of its ability made the program compatible with the top two browsers currently available on the worldwide market. Customer agrees to pay all royalty fees, which may correspond, to graphics, pictures or information chosen to be placed in any program(s) should any royalty fees apply. Customer agrees not to utilize any assigned email accounts for unauthorized or unsolicited email campaigns (“spam”), and any legal fees or damages arising out of any and all of such use shall be the responsibility of Customer. Rossini Management Systems, Inc. and its principles will be held harmless. Rossini Management Systems, Inc. does not guarantee any “web hit” count resulting from the monthly Web Submittal Service. Customer understands that additional fees may be necessary to rank the chamber /organization in the top ranking of the main search engines. Rossini management Systems, Inc. submits all Market Your City customers at least one time a month to the top 10 search engines. The Monthly lease/hosting and subscription fee includes hosting of the program/web site on our server and access to the Market Your City application. Hosting includes adequate disk space for the home page and email access; it does not include dial-up services. Quarterly web site updates (if utilized) includes text based changes or minor graphic updates. Any major changes to graphics, new graphics and/or major restructuring changes to a web site are not included in the quarterly update; support hours are not cumulative. Customer agrees to send updates and questions via e-mail. Phone based support is a billable expense at our regular $75.00 per hour rate billed on a 30-minute per occurrence basis. TERMS: Monthly license/hosting and subscription is for a duration of one (1) year from date of purchase. Monthly fees are due by the 15th of the month where billing occurs. Any late payments are subject to a $15.00 late fee. Any account 30 days past due will be subject to suspension of Internet services. Other Internet services: payment in advance with order. Payment is monthly with the first and last payments collected when the subscription is purchased, and is for a rate of $100.00 per month for a one year term. Sales tax, where applicable, will be added to all orders unless a tax-exempt number is supplied. Rossini Management Systems, Inc. agrees to not sell or use the names of the chamber members/ organization members for profit without the consent of the organization. The chamber/organization understands that if the member names are displayed on the Internet that they may be subject to e-mail solicitation or telephone calls from the public such as what might happen in the use of names in a telephone book or directory. You agree to hold the parent company, Rossini Management Systems, Inc. harmless from any and all claims that might arise from the outside solicitation. Rossini Management Systems, Inc. does withhold the right to send update notices to all customers so as to efficiently disseminate the information to all of its users.
